I hereby grant Sponsor RSG Group USA, Inc. d/b/a Gold’s Gym, its parents, affiliates, their successors and assigns, and franchisees of Sponsor’s affiliate Gold’s Gym Franchise LLC (collectively, the “Authorized Parties”), a worldwide, irrevocable, perpetual, royalty-free, fully paid, non-exclusive, license to display, perform, reproduce, republish, promote, prepare derivative works of, transmit, broadcast, digitize, distribute, modify, copyright, and otherwise use my name, image, and likeness, including but not limited to photographs, audio or video recordings, or other representations of me, as well as any written or oral statement(s) made by me (the “Likeness”) in connection with or relating to my participation in the 2024 Gold’s Gym Fitness Competition (“GGFC”).

The license includes permission to copyright, use, or publish the Likeness and all rights to marketing, publicity, and promotional use (whether paid or not) by the Authorized Parties for any purpose related to Gold’s Gym and its goods or services, and in any manner, form, or format (now or hereinafter created), and in any medium including on the internet, in social media, other electronic communications, filmography, or print, and with or without my name or with a fictitious name.

The Authorized Parties further have my permission to share and republish any of my user-generated content (the “Content”) related to the GGFC, in its original or modified form, in all forms of media and through any digital media channels or other electronic communications, with or without my name or with a fictitious name. I represent and warrant that posted Content will be mine or that I will have the necessary permissions to use it and grant the permissions provided to the Authorized Parties herein.

I hereby waive any rights that I may have to inspect and/or approve any drafts, finished product, or copy that may be used in connection with the Likeness or Content, or the use to which it may be applied. I further waive any right to royalties or other compensation that may be related to the use of the Likeness or any Content.

I hereby release, agree to indemnify, defend, and hold harmless the Authorized Parties, including any entity or individual using, publishing or distributing the Likeness or Content (in whole or in part) on behalf of the Authorized Parties, from and against any and all present and future claims, damages, or liability that I or any third party may have arising from or in any way related to the use of the Likeness or Content, including but not limited to invasion of privacy, right of publicity, copyright infringement, defamation or any other cause of action arising from the use, exploitation, reproduction, adaptation, distribution, publication, broadcast or display of the Likeness or Content.
